TERMS OF USE

1. Agreement to Terms

This Terms of Use Agreement (the “Agreement”) is a legally binding agreement between SOULBROTHERS SRL, a company incorporated under the laws of Romania, with registered office at Str. Pompiliu Manoliu 11, Bucharest, Romania, registered with the Romanian Trade Register under no. J40/374/2021, unique identification code (CUI) 43547134 (“SoulBrothers”), and you, whether personally or on behalf of an entity (“Client”), governing your access to and use of https://www.thebros.net (the “Website”) and any related media channels or applications.

By accessing or using the Website you agree to be bound by this Agreement. If you do not agree, you are prohibited from using the Website and must discontinue use immediately. Any obligations of Client to pay SoulBrothers for services already rendered survive termination.

2. Intellectual Property Rights

Unless otherwise indicated, the Website is the property of SoulBrothers. All source code, databases, functionality, software, designs, audio, video, text, photographs and graphics (collectively, the “Content”) and the trademarks, service marks and logos (the “Marks”) are owned or controlled by SoulBrothers and protected by Romanian law, EU law and international treaties. The Content and Marks are provided “as is” for your information and personal use only. Except as expressly permitted in writing by SoulBrothers, no Content or part of the Website may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, licensed, sold or otherwise exploited for any commercial purpose. SoulBrothers reserves all rights not expressly granted.

3. Ownership of Materials (Client Projects)

Notwithstanding Section 5 (Client Feedback), all design deliverables and original source files created for Client (“Projects”) belong to Client upon full payment, and Client shall be the sole owner of the copyright in the Projects. To the extent any right might vest in SoulBrothers by operation of law, SoulBrothers irrevocably assigns such right to Client. Client warrants all materials it supplies for incorporation into any Project are owned by Client or properly licensed and do not infringe third-party rights. Unless otherwise agreed under Section 19 (Showcasing Design Work) or a signed NDA, SoulBrothers may display non-confidential work samples for portfolio and marketing.

4. Third-Party Fonts

If a Project incorporates fonts that require a separate commercial license (“Third-Party Fonts”), SoulBrothers will notify Client in writing of the required licenses and where to obtain them. Once notified, Client is responsible for procuring the necessary licenses before reproducing, distributing or publicly displaying the Project. SoulBrothers is not responsible for any use by Client of Third-Party Fonts without an appropriate license.

5. Client Feedback (Submissions)

Any questions, comments, suggestions or other feedback provided by Client regarding the Website or services (“Submissions”) may be used by SoulBrothers without restriction or obligation, except that this Section does not override Client’s ownership of Projects under Section 3. Client represents it has the right to provide the Submissions and waives any claims arising from SoulBrothers’s lawful use of them.

6. User Representations

By using the Website, Client represents that: (a) Client has legal capacity and agrees to these Terms; (b) Client is not a minor under the laws of Client’s domicile; (c) Client will not access the Website through automated or non-human means; (d) Client will not use the Website for any unlawful purpose; and (e) Client’s use will comply with applicable laws.

7. Prohibited Activities

Client shall not: (a) make any unauthorized use of the Website; (b) retrieve data to create a database or directory without permission; (c) interfere with security features; (d) frame or link the Website without authorization; (e) mislead, defraud or abuse SoulBrothers or users; (f) disrupt the Website or servers; (g) use the Website to compete with SoulBrothers; (h) reverse engineer any software on the Website; (i) bypass access restrictions; (j) harass or threaten SoulBrothers personnel; (k) remove copyright notices; (l) upload malware or material that interferes with the Website; (m) deploy passive or active data collection mechanisms without consent; (n) disparage or harm SoulBrothers; or (o) use the Website in violation of any law.

8. Management and Oversight

SoulBrothers may monitor the Website for compliance and may restrict or deny access at its discretion, without notice, to protect its rights and property and the integrity of the Website.

9. Privacy

Your use of the Website is subject to our Privacy Policy, which is incorporated by reference. SoulBrothers processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Romanian law. Hosting and processing may occur within the EU or, where applicable, in third countries with appropriate safeguards as required by GDPR. SoulBrothers does not knowingly collect personal data from children below the age required by applicable law for valid consent (generally 16 in Romania). If you believe a minor has provided personal data without consent, please contact us and we will delete it promptly.

10. Returns and Refunds (Services)

Refunds for services are assessed on a case-by-case basis. Where a refund is granted, SoulBrothers may apply a 25% fee to the remaining billable period to cover costs incurred. If a refund is granted during the first month of service, all materials produced remain the property of SoulBrothers and may not be used by Client. Nothing in this Section limits any non-waivable statutory rights that may apply to consumers under EU or Romanian law. If you are contracting as a consumer, your statutory rights prevail in case of conflict.

11. Modifications to the Website

SoulBrothers may change, modify or remove content on the Website, or discontinue all or part of the Website, at any time without notice and without liability.

12. Availability

SoulBrothers does not guarantee the Website will be available at all times. Hardware, software or other issues may cause interruptions. SoulBrothers is not liable for any loss or inconvenience resulting from downtime.

13. Governing Law

This Agreement is governed by and construed in accordance with the laws of Romania, without regard to conflict-of-law rules.

14. Dispute Resolution and Jurisdiction

The courts of Bucharest, Romania shall have exclusive jurisdiction over any dispute arising out of or related to this Agreement or the Website. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Disclaimer

The Website is provided on an “as is” and “as available” basis. Client uses the Website at its own risk. To the maximum extent permitted by law, SoulBrothers disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. SoulBrothers does not warrant the accuracy or completeness of the Website’s content or of any linked resources, and is not responsible for errors, interruptions, security breaches, malware transmission or loss resulting from the use of content made available via the Website. SoulBrothers does not endorse or assume responsibility for any third-party products or services advertised or linked on the Website.

16. Limitation of Liability and Indemnity

To the maximum extent permitted by law, SoulBrothers and its directors, employees, members, contractors and agents shall not be liable for any indirect, incidental, consequential, special or punitive damages (including lost profits, revenue, data or business) arising from or related to the use of the Website. This limitation does not exclude liability that cannot be excluded under applicable law.

Client agrees to defend, indemnify and hold harmless SoulBrothers, its affiliates and their respective officers, members, agents, employees and contractors from any claims, losses, liabilities, damages and expenses (including reasonable attorneys’ fees) arising out of: (a) Client’s use of the Website; (b) Client’s breach of this Agreement; (c) Client’s breach of representations and warranties; or (d) Client’s violation of third-party rights. SoulBrothers may assume the defense at Client’s expense, and Client will cooperate.

17. User Data

Client is solely responsible for data transmitted to or related to Client’s use of the Website. SoulBrothers is not liable for loss or corruption of such data.

18. Electronic Communications and Signatures

Client consents to receive communications electronically and agrees that all agreements, notices and records provided electronically satisfy legal requirements for written communications. Client agrees to the use of electronic signatures and records for transactions conducted by or through the Website.

19. Showcasing Design Work

Unless otherwise agreed in writing, SoulBrothers may display non-confidential design work for portfolio purposes on digital channels (including the Website and social media). Client may request a mutual NDA to restrict such use, in which case the NDA prevails for covered work.

20. Miscellaneous

This Agreement, together with the Privacy Policy and any policies posted on the Website, constitutes the entire agreement between Client and SoulBrothers regarding the Website. Failure to enforce any provision is not a waiver. If any provision is unlawful, void or unenforceable, that provision is deemed severed and the remainder remains in effect. Nothing herein creates a partnership, joint venture, employment or agency relationship.
